SaaS Contracts and Software Licensing

We draft software license contracts, SaaS agreements, and SLAs that protect your intellectual property and regulate the relationship with your enterprise clients.

Why do you need a professional SaaS contract?

If your company develops software and markets it as a cloud service, you need a contract that sets the rules. In Colombia, software legislation is governed by Law 23 of 1982 (copyright), Andean Decision 351, and Law 1581 of 2012 on data protection.

Without a proper SaaS contract, you're exposed to disputes over code ownership, liability for service outages, misuse of client data, and difficulties collecting payments or terminating business relationships.

Key components of a SaaS contract

Usage license

Access scope: permitted users, included features, usage restrictions, and authorized territories.

SLA (Service Level)

Guaranteed availability, incident response times, maintenance windows, and credits for non-compliance.

Intellectual property

The provider retains software IP. The client receives a limited, non-transferable, non-exclusive license.

Data protection

Data processing compliant with Law 1581, controller and processor roles, and security measures.

Limitation of liability

Indemnification caps, indirect damage exclusions, and conditions under which each party is liable.

Termination and transition

Termination grounds, notice periods, data export, and post-contractual obligations.

Frequently Asked Questions

A SaaS contract regulates the relationship between the software provider and the user accessing it as a cloud service. It defines service levels (SLA), intellectual property, data processing, liability limitations, and termination conditions. Without this contract, your company is exposed to disputes over code ownership, data, and availability.

Terms and conditions regulate general platform use by end users (B2C). A SaaS contract is a more detailed commercial agreement between companies (B2B) that includes SLAs, indemnification clauses, audit rights, and renewal conditions. If you sell software to other companies, you need a SaaS contract.

It depends on your infrastructure. Typical SLAs range from 99.5% to 99.99% availability. You must define how uptime is measured, what constitutes an outage, incident response times, and credits for non-compliance.

The contract must establish that the provider retains all intellectual property over the software. The client receives a limited, non-transferable, non-exclusive usage license. Clauses against reverse engineering and trade secret protection are also included.

The contract must define a transition period (typically 30-90 days) for the client to export their data. Afterwards, the provider securely deletes it. This must comply with Law 1581 of 2012 on data protection.
